You understand and agree that, by visiting SBCorner.com (the "Site"), you are accepting, without modification, these Terms of Use (the "Terms"). If you do not agree with any portion of these Terms of Use, your only option is to discontinue use of SBCorner.com.

These Terms of Use are subject to revision from time to time by SBCorner.com and your continued use of SBCorner.com means you agree to, without modification, the revised Terms of Use. We encourage you to check back at our Terms of Use at our web site periodically as revised versions will be binding on you. Any such modification will be effective upon our posting of new Terms.

Eligibility

To access or use the Site, you must be 18 years or older and have the requisite power and authority to enter into these Terms and your use of SBCorner.com does not violate any applicable law or regulation. Your profile may be deleted and your membership may be terminated without warning, if we believe that you are in violation of any of the Terms in this policy.

You agree to comply with our site rules, including, our Privacy Policy, (click here to see our Privacy Policy) and with all laws and regulations applicable to your access and use of SBCorner.com and publishing your content.

Site Availability

The Site may be modified, updated, interrupted, suspended or discontinued at any time without notice or liability.

Content

You are solely responsible for the Content, material or information that you post on SBCorner.com and once published, it cannot always be withdrawn. SB Corner does not endorse and may have no control over the Content. Content may not be necessarily reviewed by SB Corner prior to posting and does not necessarily reflect the opinions or policies of SB Corner. SB Corner takes no responsibility and assumes no liability for any Content posted, stored or uploaded by you or any third party, or for any loss or damage thereto, nor is SB Corner liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter.

Although SB Corner has no obligation to screen, edit or monitor any of the Content posted to or distributed on the Site, SB Corner reserves the right not to publish your review and has absolute discretion, to remove, screen or edit without notice any Content posted or stored on the Site at any time that in our sole judgment violates this agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. SB Corner assumes no responsibility for monitoring the site for inappropriate Content or conduct. If at any time we choose, in its sole discretion, to monitor the site, we nonetheless assume no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the user submitting any such Content.

We may use your Content in many different ways, including publicly displaying it, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, and distributing it in any media. By submitting your Content, you automatically warrant and represent to SB Corner and SBCorner.com that you are the owner of all intellectual property rights in your Content or that you otherwise have all sufficient rights to grant the license above. By submitting your Content, you further warrant and represent that your Content infringes no third-party right of privacy, right of publicity, or any other third-party right or proprietary interest.

Termination

You can cancel your account at any time by contacting us at contact_us@sbcorner.com. We can cancel your account, or otherwise refuse service to you, at any time for any reason (including repeat infringement). Following termination of your account for any reason, at our sole option, SB Corner may continue or stop publicly displaying some or all of your Content.

Prohibited Activity

The following is a partial list of the kind of content that is illegal or prohibited to post on or through the Site. SB Corner reserves the right to investigate and take appropriate legal action against anyone who, in SB Corner's sole discretion, violates this provision, including without limitation, removing the offending communication from SBCorner.com site and terminating the membership of such violators. Prohibited content includes, but is not limited to, content that in the sole discretion of SB Corner is/does:

violates the law or legal rights of others;
offensive, obscene, defamatory, threatening, or malicious postings;
anyone's personal, identifying, confidential or proprietary information;
harasses or advocates harassment of another person;
postings in which the primary purpose is to drive traffic to a website;
child pornography; bestiality; offers or solicitation of illegal prostitution;
postings, promoting, or linking to unsolicited products or services;
affiliate marketing; network, or multi-level marketing; pyramid schemes;
contain nudity, violence, or offensive subject matter or contains a link to an adult website;
a fake or defamatory review, trading reviews with other businesses, or compensating someone or being compensated to write a review;
solicit personal information from anyone under 18.

General

We reserve the right to modify, update, or discontinue the Site at our sole discretion, at any time, for any or no reason, and without notice or liability.
SBCorner.com and its services are provided "AS IS", "WITH ALL FAULTS" AND "AS AVAILABLE" basis with the understanding that SB Corner may not monitor, control, or vet user Content. As such, your use of the site is at your own discretion and risk. SB Corner makes no claims or promises about the quality, accuracy, or reliability of the site, its safety or security, or the Site Content. Accordingly, SB Corner is not liable to you for any loss or damage that might arise, for example, from the Site's inoperability, unavailability or security vulnerabilities or from your reliance on the quality, accuracy, or reliability of the yard sale listings, deal listings, business listings, ratings, or reviews (including their content, order, and display) available through the Site.
Any failure on SB Corner's part to exercise or enforce any right or provision of the Terms does not constitute a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.
We shall be excused for any problem due to a factor beyond our control.
You agree to indemnify, defend, and hold SB Corner, its parents, subsidiaries, affiliates, any related companies, suppliers, licensors and partners, and the officers, directors, employees, agents and representatives of each of them (collectively, "SB Corner Entities") harmless, including costs, liabilities and legal fees, from any claim or demand made by any third party arising out of or relating to (i) your access to or use of the Site, (ii) your violation of the Terms, (iii) any products or services purchased or obtained by you in connection with the Site, or (iv) the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity.
Our suppliers are third-party beneficiaries of this agreement.

Liability Limits

WE AND OUR SUPPLIERS SHALL NOT BE LIABLE FOR ANY LOST PROFITS OR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF SB CORNER, OUR SERVICES OR THIS AGREEMENT. IN ANY EVENT, BY ACCEPTING THE SB CORNER TERMS OF USE YOU SPECIFICALLY AGREE THAT WE AND OUR SUPPLIERS SHALL NOT BE LIABLE TO YOU FOR ANY AMOUNT.
YOU ALSO SPECIFICALLY AGREE THAT YOU SHALL NOT HOLD SB CORNER LIABLE FOR CLAIMS, DEMANDS, OR DAMAGES OF ANY KIND OR NATURE ARISING OUT OF OR IN ANY WAY CONNECTED WITH A DISPUTE WITH ANY OTHER USER OF SB CORNER.
SB CORNER ENTITIES DISCLAIM LIABILITY FOR ANY (i) INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, RELIANCE, OR CONSEQUENTIAL DAMAGES, (ii) LOSS OF PROFITS, (iii) BUSINESS INTERRUPTION, (iv) REPUTATIONAL HARM, OR (v) LOSS OF INFORMATION OR DATA.
SB CORNER ENTITIES MAKE NO CLAIMS OR PROMISES WITH RESPECT TO ANY THIRD PARTY, SUCH AS THE BUSINESSES, DEALS, OR ADVERTISERS LISTED ON THE SITE OR THE SITE'S USERS. ACCORDINGLY, SB CORNER ENTITIES ARE NOT LIABLE TO YOU FOR ANY LOSS OR DAMAGE THAT MIGHT ARISE FROM THEIR ACTIONS OR OMISSIONS, INCLUDING, FOR EXAMPLE, IF ANOTHER USER OR BUSINESS MISUSES YOUR CONTENT, IDENTITY OR PERSONAL INFORMATION, OR IF YOU HAVE A NEGATIVE EXPERIENCE WITH ONE OF THE BUSINESSES OR ADVERTISERS LISTED OR FEATURED ON THE SITE. YOUR PURCHASE AND USE OF PRODUCTS OR SERVICES OFFERED BY THIRD PARTIES THROUGH THE SITE IS AT YOUR OWN DISCRETION AND RISK.

Jurisdiction

This agreement between SB Corner and its users will be governed and interpreted under the laws of the state of Idaho. Courts located in Ada County, Idaho have jurisdiction in any dispute arising from these Terms of Use.

In the event that any provision of these Terms of Use is found to be in conflict with the law, such provision shall be restated to reflect the original intent, and all other terms and conditions shall remain in full force and effect.

Severability

If any provision of these Terms of Use shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
